1. Acceptance of Terms

Welcome to IOTee. These Terms of Service ("Terms") govern your access to and use of IOTee's fleet management software, mobile applications (iOS and Android), IoT solutions, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Description of Services

IOTee provides GPS tracking, fleet management, vehicle monitoring, fuel tracking, driver management, and related IoT solutions for businesses and individuals in the UAE and internationally.

Our Services include:

• Real-time GPS vehicle tracking and fleet management software
• Mobile applications for iOS and Android devices
• IoT hardware devices and sensors for vehicles
• Data analytics, reporting, and insights
• Customer support and technical assistance

3. Account Registration and Security

3.1 Account Creation

To use certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

4. Use of Services

4.1 License Grant

Subject to your compliance with these Terms, IOTee grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business or personal purposes.

4.2 Restrictions

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any portion of the Services
• Reverse engineer, decompile, or disassemble any software or technology used in the Services
• Remove, alter, or obscure any proprietary notices on the Services
• Use the Services to transmit viruses, malware, or other harmful code
• Resell, sublicense, or commercially exploit the Services without authorization
• Use automated systems (bots, scrapers) to access the Services without permission

4.3 Mobile Application

When you download and use our mobile application, you agree to:

• Download the app only from official app stores (Apple App Store, Google Play Store)
• Keep the app updated to the latest version for security and performance
• Not modify, adapt, or create derivative works from the app
• Comply with applicable third-party terms (Apple App Store Terms, Google Play Terms)

5. Subscription and Payment Terms

5.1 Subscription Plans

Our Services are offered through various subscription plans with different features and pricing. Current pricing is available on our website and mobile app.

5.2 Payment

You agree to pay all fees associated with your subscription plan. Payments are processed through secure third-party payment processors. All fees are non-refundable unless otherwise stated.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your subscription plan.

5.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting customer support. Cancellation will take effect at the end of the current billing period.

5.5 Free Trials

We may offer free trial periods for new users. If you do not cancel before the trial ends, you will be automatically charged for the subscription plan you selected.

6. Hardware and Equipment

6.1 GPS Devices and Sensors

If you purchase or lease hardware from IOTee (GPS trackers, sensors, cameras), you agree to use the equipment in accordance with provided instructions and applicable laws.

6.2 Installation

Professional installation services may be required for certain hardware. Installation must be performed by authorized technicians to maintain warranty coverage.

6.3 Warranty and Returns

Hardware products come with a limited warranty as specified in your purchase agreement. Warranty terms, return policies, and service procedures are available upon request.

7. Data and Privacy

Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

7.1 Your Data

You retain all rights to the data you generate using our Services (vehicle locations, routes, reports, etc.). We use your data only to provide and improve our Services.

7.2 Data Accuracy

While we strive to provide accurate GPS tracking and data, we do not guarantee 100% accuracy due to factors beyond our control (GPS signal interference, network connectivity, etc.).

8. Intellectual Property Rights

8.1 Ownership

All intellectual property rights in the Services, including software, mobile applications, website content, logos, trademarks, and documentation, are owned by IOTee or our licensors. These Terms do not grant you any ownership rights.

8.2 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant IOTee a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our Services without compensation to you.

9. Disclaimers and Warranties

9.1 "As Is" Basis

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee

We do not guarantee that:

• The Services will be uninterrupted, timely, secure, or error-free
• GPS data will be 100% accurate at all times
• Any defects or errors will be corrected immediately
• The Services will meet your specific requirements

9.3 Third-Party Services

Our Services may integrate with third-party services (mapping providers, payment processors, etc.). We are not responsible for the availability, accuracy, or reliability of third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IOTEE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL IOTEE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO IOTEE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless IOTee, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws or regulations

12. Termination

12.1 Termination by You

You may terminate your account at any time by canceling your subscription through account settings or contacting customer support.

12.2 Termination by IOTee

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Prolonged inactivity

12.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may delete your account and data, though we may retain certain information as required by law or for legitimate business purposes.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

13.2 Dispute Resolution

In the event of any dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to arbitration in accordance with UAE arbitration laws.

13.3 Jurisdiction

You agree to submit to the personal and exclusive jurisdiction of the courts located in the UAE for the resolution of any disputes.

14. Apple App Store Additional Terms

If you download our mobile application from the Apple App Store, you acknowledge and agree to the following additional terms:

• These Terms are between you and IOTee, not Apple. Apple is not responsible for the app or its content.
• Your license to use the app is limited to a non-transferable license to use it on Apple devices you own or control, as permitted by the Apple App Store Terms of Service.
• Apple has no obligation to provide maintenance or support services for the app.
• In the event of any failure of the app to conform to applicable warranties, you may notify Apple for a refund. Apple has no other warranty obligation with respect to the app.
• Apple is not responsible for addressing any claims by you or third parties relating to the app.
• Apple is a third-party beneficiary of these Terms and may enforce these Terms against you.

15. Google Play Store Additional Terms

If you download our mobile application from Google Play Store, you acknowledge that:

• These Terms are between you and IOTee, not Google.
• Google is not responsible for the app, its content, or any claims related to it.
• Your use of the app must comply with Google Play's Terms of Service.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Services and cancel your account.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and IOTee regarding the Services and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, or network failures.
